Board Index Research Series
The Netherlands Board Index program is a unique longitudinal research project that systematically follows the evolution of corporate governance and board practices in the Netherlands.
The project began in 1996 and has evolved into a leading research project. Similar projects follow board practices in the US, the UK and many other countries. See Spencer Stuart - www.spencerstuart.com - for more information on Board Indexes in other countries.

The Index is a census of 100 of the largest companies listed on the Dutch segments of the EuroNext Exchange. Information on the composition and structure of boards, committees, board tenure and directorships reflects in most instances the situation as of July 31, 2006. Information on board (committee) meetings and the cash remuneration of executive and non-executive directors reflects the situation as of December 31, 2005.

The Index is a census of one hundred of the country’s largest companies listed on the EuroNext including 25 AEX and 25 AMX companies. The other fifty companies are randomly selected. Compliance with the Tabaksblat Code has been measured based on information that has been made available in 2003 annual reports and is not necessarily based on information that is available in the report of the supervisory board. Information on the composition and structure of boards, board committees, board tenure and directorships in most instances reflects the situation as of June 1, 2004.

The Index is based on data from 100 of the country’s largest corporations listed on the Amsterdam Stock Exchanges (50 AEX- and AMX-corporations and 50 additional smaller corporations). The Index is based on data obtained from annual financial reports published between 1987 and 2000. Board information in the Index is also culled from corporations’ 1998-1999 compliance reports with respect to the forty recommendations of the Peters Committee, corporations’ investor relation pages on the Internet and other publicly accessible data.

The Index is based on 50 of the country’s largest companies. Initially, board information in the Index is culled from annual reports, by-laws, and other publicly accessible data. In addition, chairmen of participating non-executive boards have been interviewed and surveyed on topics including board committee structures, board composition and compensation schemes. The results of the survey are based on a sixty percent response rate.
